This thesis examines the issue of the valuation of startups in the request for investment to private investors. It gives a general description of the phenomenon of innovative startups all over the world, and then focus on the Italian context. Then there is an examination of the evaluation methods currently used in Italy through interviews to experts in the field, private investment funds and startups incubated in I3P, Incubator of the Politecnico Torino. The analysis continues with a detailed study of two startup of two different sectors, the first startup belong to the digital and the other to the industrial sector, in order to explane the differences in negotiations financing. Finally, the dissertation concludes with a study of the Italian legislation on innovative startups, specifically analyzes the incentives proposed startups in order to enhance the development and there is a comparison with the US law.

Questa tesi tratta il tema della valutazione delle startup in sede di richiesta di investimento da parte di investitori privati. Viene presentata una descrizione generale del fenomeno delle startup innovative in tutto il mondo, per poi focalizzare l'attenzione sul contesto italiano. Sono indagate le modalità di valutazione attualmente utilizzate in Italia attraverso delle interviste proposte a esperti di settore, fondi privati di investimento e alle startup incubate in I3P, Incubatore del Politecnico di Torino. L'analisi prosegue con uno studio approfondito di due startup appartenenti a due differenti settori, la prima appartenente al settore digital e l'altra al settore industrial, al fine di farne emergere le differenze in sede di trattativa di finanziamento. Infine il trattato si conclude con uno studio della normativa italiana sulle startup innovative, nella fattispecie vengono analizzate le agevolazioni proposte a quest'ultime al fine di incrementarne lo sviluppo e ne viene proposto un confronto con la normativa statunitense.
