In the universe of Bank, Corporate Governance represents a key with growing importance. In particular, in this sector there is the need to prevent the crisis and be able to manage the risky situations. The Governance of a Bank institution must be able to take decision rapidly, even more in the current context, characterized by innovation, uncertainty and new challenges for the banks. Therefore, this elaborated is addressed to analyse the Corporate Governance inside a Bank Institution, with a highlight and a deeper examination of the BPER Bank’s case. The reasons at the base of this work are the results of a great interest in the Corporate Governance course followed during the University’s path, combined with the working experience in the BPER Bank of the last months. The goal of this dissertation is to understand the great machine of Corporate Governance inside the banking institutions, its structures, its main challenges and how the strategy and the targets are formulated and addressed throughout the structure of the bank, from the board to the hubs’ employees. In addition, the research investigates the role of women and the theme of the gender equality inside the banking institutions. This thesis has been elaborated following a qualitative approach with the analysis of secondary data extrapolated from Internet-based documents, articles, and form the readings of books on the topic. Moreover, for the BPER Bank’s case there have been conducted some open-ended question’s interviews with the personnel of the Planification Office of Modena. In a second moment the results have been elaborated and integrated with the institutional documents of the bank and personal observations during the working experience.
