Gli amministratori di S.p.A. tra Codice Civile e Codice di Autodisciplina

The thesis aims to illustrate the figure of the director in joint-stock companies. The role of an administrator is very important, as is his responsibility towards the business. The first chapter introduces the figure of the administrator by describing his appointment, the management power and the power of representation, the diligence required (by the nature of the assignment) and the specific obligations, the limits to the relative powers, the prohibitions of the administrators, and the business judgment rule. Instead, the second part of the thesis describes the directors' responsibility both towards third parties and shareholders, and towards the company and the figures of non-executive, de facto and bank directors are presented and described.

La tesi ha l’obiettivo di illustrare la figura dell’amministratore nelle società per azioni. Il ruolo di un amministratore è molto importante, così come lo è la sua responsabilità verso l’attività. Nel primo capitolo si introduce la figura dell’amministratore descrivendone la nomina, il potere di gestione e il potere di rappresentanza, la diligenza richiesta (dalla natura dell’incarico) e gli obblighi specifici, i limiti ai relativi poteri, i divieti degli amministratori, e la business judgment rule. Invece, nella seconda parte della tesi si descrive la responsabilità degli amministratori sia nei confronti dei terzi e dei soci, sia nei confronti della società e vengono presentate e descritte le figure degli amministratori non esecutivi, di fatto e di banca.
